1. Acceptance of Terms

By accessing or using Meneja (the "Service"), operated by Emigisha Ltd ("we", "us", or "our"), you agree to be bound by these Terms & Conditions. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.

If you do not agree to these terms, you must stop using the Service immediately.

2. Service Description

Meneja is a software-as-a-service (SaaS) platform designed to help businesses and individuals manage their operations. The Finance module is currently live, with Products and Services modules under active development.

Meneja is built with an offline-first architecture, allowing core functionality to work without an internet connection. Data synchronizes automatically when connectivity is restored.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Accounts are non-transferable and may not be shared with third parties.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You may not:

• Reverse engineer, decompile, or disassemble any part of the Service
• Upload or transmit malware, viruses, or any malicious code
• Scrape, crawl, or use automated tools to extract data from the Service
• Attempt to gain unauthorized access to other users' accounts or our systems
• Use the Service to facilitate illegal activities or violate any third-party rights
• Interfere with or disrupt the integrity or performance of the Service

5. Intellectual Property

The Service, including its design, code, features, and branding, is the intellectual property of Emigisha Ltd and is protected by applicable copyright, trademark, and other intellectual property laws.

You retain full ownership of all data and content you input into the Service. By using the Service, you grant us a limited, non-exclusive license to process, store, and display your data solely for the purpose of providing the Service to you.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

By using the Service, you consent to the data practices described in our Privacy Policy.

7. Payment & Billing

Meneja is currently offered free of charge. We may introduce paid plans or premium features in the future.

If paid plans are introduced, we will provide advance notice of pricing and billing terms. Continued use of paid features after the notice period constitutes acceptance of the applicable fees.

8. Data & Security

We implement reasonable technical and organizational measures to protect your data. However, no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security.

When using the Service in offline mode, your data is stored locally on your device. You are responsible for the security of your device and any data stored on it during offline use.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We are not liable for any losses or damages resulting from service outages or interruptions.

10. Termination

You may terminate your account at any time by contacting us or using the account deletion feature within the Service.

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these terms or if continued use poses a risk to the Service or other users.

Upon termination, your data will be retained for a reasonable period to allow for recovery, after which it will be permanently deleted in accordance with our data retention policies.

11. Limitation of Liability

To the maximum extent permitted by law, Emigisha Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claim arising from or related to these terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred US dollars ($100), whichever is greater.

12. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your specific requirements, that results obtained from using the Service will be accurate or reliable, or that any errors in the Service will be corrected.

13. Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. Material changes will be communicated through the Service, by email, or by posting a notice on our website.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated terms. If you do not agree with the changes, you must stop using the Service.

14. Governing Law & Disputes

These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

Any disputes arising from or related to these terms or the Service shall first be resolved through informal negotiation. If a resolution cannot be reached, the dispute shall be submitted to the exclusive jurisdiction of the courts located in Nairobi, Kenya.
